Name Change of the Company

A Company being a legal entity must have a name to establish its identity. Name Clause in the Memorandum of Association should not be identical with the existing company’s name.Name clause being the foremost clause in the Memorandum of Association name by which the company is known.

A company desiring to change its name may do so in accordance with the provisions of Section 13 of the Companies Act, 2013. A company by passing special resolution and with the approval of the Central Government signified in writing change its name.
However, if the only change required is the addition thereto or deletion there-from, of the word “Private”, no such approval of Central Government is required.
The change of name is not allowed to a company which has not filed annual returns or financial statements are due for filing with the Registrar or which has failed to pay or repay matured deposits or debentures.
