Limited Liability Partnership (LLP) is a
newly introduced corporate entity type in India aimed at entrepreneurs, small
and medium sized businesses. LLP provides many benefits of a
Private Limited Company and at the same time it is easier to maintain
compliance. Low registration fee and easy maintenance make LLP a first choice
for many of the small businesses in India. A LLP is easy to manage and it is
subjected to minimal post registration compliance.
LLP is a separate legal entity, which can be formed in India by a minimum of two persons coming together with a motive of earning profit. It has been recommended to have atleast one of the partners of the LLP be both Citizen as well as Resident in India, just like the requirement for registration of a private limited company in India.
NRIs and Foreign National can also incorporate their LLP and start their business in India subject to regulations framed by Companies Act and FDI guidelines issued by Reserve Bank of India (RBI) apart from sectoral cap in different category of businesses. Let us understand the meaning of NRI and Foreign National first.
Non Resident Indian: Citizens of India,
holding Indian Passport, immigrated to any other country for six months or
more.
Foreign National: A person who is not
a citizen of India.
Resident: A resident person is requires to stay in India for at least 182 days in a financial year

For NRI’s and Foreign National below
mentioned documents must be apostiled by Consulate of Indian Embassy or
attested by Foreign Public Notary depending upon whether country is the member
of Hague convention or not.
For NRI’s and Foreign National Please
make note that if the person belongs to country who is not the member of Hague
convention then all the documents as mentioned above need to be apostiled by
Consulate of Indian Embassy. And if the person belongs to the
country who is the member of Hague convention than all the documents as
mentioned above can be provided after attestation by Foreign Public Notary
